As a Legal Counsel, your role will be to provide support to our carpool business teams on multiple legal practice areas such as platform regulation (such as DSA), e-commerce, consumer protection and commercial contracts, and marketing legal advice. You will be reporting to the Head of Legal and working with a team of approx. 10 people.

This position requires the ability of working in a fast growing tech company, developing high level of understanding of how our product works and creating close connections with operational teams. Having an appetite for project management is a must.

Your Responsibilities

• Be a trusted advisor to the carpool and energy saving certificate business teams in France, Spain and other European jurisdictions by providing creative solutions while ensuring compliance with regulations, with a specific focus on our product and platforms;

• Work hand in hand with the product team and ensure compliance with evolving EU and local digital regulations affecting online marketplaces;

• Managing any pre-litigations and litigations;

• Drafting and negotiating all types of contracts (including commercial contracts, partnership agreements, marketing agreements, license agreements, etc);

• Collaborate with internal partners, and notably government relations team, to respond to requests from regulators;

Your Qualifications

About your role

Juniper Square is seeking a hands-on AML Assistant Manager to support the daily execution and operational oversight of our Anti-Money Laundering compliance program. Reporting directly to the AML Manager, you will serve as the team’s operational anchor, driving daily queue efficiency, providing real-time guidance on casework, and ensuring all client due diligence activities align with internal policies and multi-jurisdictional regulatory frameworks.

The successful candidate pairs technical mastery in AML/KYC execution with emerging leadership capabilities. This is a highly collaborative, hands-on role; you will actively process daily production cases alongside the Compliance Associate team while providing real-time technical guidance and daily mentorship. Partnering closely with the AML Manager during team syncs, you will serve as a key operational contact for internal business partners, drive the execution of critical remediation projects, and maintain audit-ready standards across a growing fund administration business.

What you’ll do

• Oversee the day to day operational AML/KYC lifecycle, including investor onboarding, ongoing monitoring, sanctions screening, and beneficial ownership identification.

• Actively work the daily queue alongside the Compliance Associates while monitoring workflow distribution to ensure onboarding deadlines and operational targets are met.

• Review and approve Associate-level determinations on sanctions screening, complex UBO analysis, and Enhanced Due Diligence (EDD) cases, serving as the primary quality gate before escalation to the AML Manager.

• Investigate high complexity investor profiles and complex structures, including corporates, trusts, foundations, and high risk individuals such as Politically Exposed Persons (PEPs).

• Review and validate AML reliance letters during the onboarding process to ensure third-party compliance meets required regulatory standards.

• Identify recurring quality trends or knowledge gaps during daily casework reviews, feeding these insights back to the AML Manager to help shape future team training and workshops.

• Drive the operational execution of ongoing remediation projects, KYC refresh exercises, AML reliance letter testing etc, while managing timelines and tracking data integrity metrics to ensure efficient file cleanups.

• Review, validate, and sign off on investor FATCA and CRS (AEOI) operational workflows and documentation.

• Serve as the primary BAU support and initial operational escalation point for compliance queries across both the Fund Administration and GPX business lines

• Support the AML Manager with broader process optimizations, system platform migrations, and new fund launches as needed.

• Assist in preparing ongoing, ad hoc operational metrics and report generation for senior leadership.

• Maintain audit ready file standards across the entire team, assisting with the resolution of internal or external audit findings.

Qualifications

• Progressive operational AML/KYC experience within fund administration, private markets, alternative investments, with clear exposure to high volume execution.

• Proven experience participating in, coordinating, or executing AML remediation projects, KYC refresh initiatives, or recurring regulatory testing cycles.

• Direct experience mentoring and coaching team members in an operational compliance environment.

• Clear understanding of jurisdictional beneficial ownership thresholds and tax transparency frameworks including FATCA and CRS (AEOI).

• Advanced proficiency in AML screening systems, open source investigative research, and commercial databases such as LexisNexis.

• Excellent interpersonal skills with the ability to analyze, summarize, and translate complex compliance findings into clear actionable guidance.

Compensation

Compensation for this position includes a base salary, equity and a variety of benefits. The U.S. base salary range for this role is 80,000-100,000 USD and the Canadian base salary range for this role is 100,000-120,000 CAD. The Role

The Legal Operations Specialist will report directly to the Senior Legal Operations Manager. This person also will support the work of ITHAKA products and services such as JSTOR, Ithaka S+R, and Portico.

Responsibilities

Legal Operations/System Administration:

• Serve as an administrator for the legal operations systems used by the Office of the General Counsel, including Conga Contracts, Contracts for Salesforce (CFS), Jira, DocuSign, and other systems as needed.
• Manage user accounts, handle training and troubleshooting, and communicate substantive changes to users. Perform day-to-day maintenance of template documents, clause libraries, dashboards, reports, inquiries, wizards, etc.

Project Management and System Onboarding:

• Manage onboarding of users, new departments, or subgroups to Conga for Salesforce and, as needed, rework flows for existing CFS participants: Identify and assemble core team members, gather requirements, reconfigure system as needed to meet users’ evolving needs, drive new user testing and training sessions.
• Serve as liaison between Legal, Business Systems, and other subject matter experts and power users of the CFS system; work with stakeholders to establish phases, priorities, and scheduling of reconfiguring and implementation.
• Execute migration activities, including collection of data requirements, as well as data cleanup and preparation.

Documentation, Training, and Support:

• Update training syllabi and conduct training sessions, using a variety of training methods to facilitate user adoption for a range of learning styles.
• Update and create user manuals and training videos.
• Oversee and respond to user support requests.
• Implement and document new policies and processes in a centralized manner to complement legal systems.

Experience and Skills

What You Will Be Doing

We’re looking for a commercially-minded Legal Counsel (Contract) to play a critical role at the intersection of legal, product, and revenue as we integrate our recent acquisition of itel and continue to scale our North America business. In this role, you’ll lead key legal workstreams tied to vendor contract integration while partnering closely with Sales, Go-To-Market, and Operations teams to support high-impact deals. You’ll be hands-on in negotiating, drafting, and structuring complex enterprise SaaS and data licensing agreements—primarily within the insurance sector—helping the business move quickly while thoughtfully managing risk.

Job Description

We’re looking for a dynamic Legal Counsel to support our growing U.S. business, partnering closely with Commercial (AECO) and Government Sales teams to help drive revenue while thoughtfully managing legal risk. In this role, you’ll sit at the center of our go-to-market efforts—advising on deal strategy, negotiating and drafting SaaS and data licensing agreements, and guiding teams through complex contract structures, including those involving machine learning and government entities. You’ll play a key role in enabling the business to move quickly and confidently, translating legal considerations into clear, practical guidance that supports our broader company objectives.

Beyond day-to-day deal support, you’ll contribute to building scalable legal processes and strengthening compliance across the organization. This includes developing training for internal teams, refining contract playbooks and toolkits, and staying ahead of evolving legal and regulatory requirements—particularly across government and multi-jurisdictional agreements. You’ll also collaborate with a global legal team, gaining exposure to international projects and working closely with our headquarters in Sydney.

Key Responsibilities

Legal Sales Support

• Working as a team with sales to support, negotiate, review, and draft SaaS agreements (primarily using Nearmap’s MSA) and related agreements, including machine learning licensing provisions when applicable
• Advising on legal risks associated with relevant contracts
• Supporting the business with customer support requests and enquiries from the legal perspective and department specific legal issues
• Providing applicable training to the commercial and government teams regarding legal concerns, such as risk exposure in sales contracts
• Representing the company’s interests and interface directly with customer counsel and negotiating teams

General Legal Support

• Providing training to relevant departments and rolling out compliance initiatives across the company
• Staying abreast of legal developments affecting the company and its target industries and synthesize the information to incorporate it into company’s transactional practices
• Assisting in overseeing and improving internal guidelines, toolkits, and packaged knowledge on various legal and business issues
• Participate with senior lawyers and management to understand Nearmap’s business strategies and needs to maximise value
• Serve as the legal POC for identified ‘swimlanes’ beyond Sales, including reviewing and negotiating applicable procurement contracts and ad hoc partnering with the Finance team

Compliance

• Keep up to date and comply with all local legislative requirements.
• Adhere to company guidelines and the corporate Code of Conduct
• Act in an ethical way when dealing with company assets and other people.

Qualifications

• Juris Doctor (J.D.) from an accredited university with a strong academic record
• Qualified to practice law in the U.S. and admitted to at least one bar in good standing
• 3+ years post JD experience negotiating B2B engagements, preference given to experience selling to or procuring on behalf of government entities

Skills

• Experience navigating government contracts at the local, state, and federal levels, including responding to RFPs
• A good understanding of cross jurisdictional issues that may arise when negotiating global agreements with multinational companies
• Experience drafting and negotiating a broad variety of corporate transactional documents and commercial contracts including SaaS subscription agreements (vendor side)
• Knowledge of intellectual property issues as they apply to a SaaS provider
• Familiarity with Microsoft Office, Salesforce, Conga and X-Author, and JIRA (preferred)

• Ability to work autonomously with independent thinking but know when and how to escalate matters/issues
• Ability to collaborate using virtual meeting and communication platforms in a remote-first environment

The Role

We are looking for an adaptable, commercially minded Junior/Mid Legal Counsel with 1–4 years of post-qualification experience to join our growing legal and compliance team. You could be based in Australia, Canada, or the United States. What matters is that you are qualified to practice in your jurisdiction and ready to contribute from day one. This role suits someone who thrives in a fast-moving environment, provides practical advice, and wants to grow across a broad mix of legal areas including contracts, compliance, capital raising, and financing.

You’ll work closely with our Head of Legal and Regulatory Affairs and senior lawyers at Heidi and collaborate across product, engineering, operations, sales, and security. A strong interest in technology – especially AI and digital health – is essential, and you should be comfortable learning new tools and picking up technical concepts quickly.

We welcome applicants from Australia, Canada, and the United States. Some travel may be required based on business needs.

What you’ll do

• Draft, review, and negotiate a wide range of commercial agreements including SaaS terms, healthcare provider contracts, data processing agreements, and technology partnerships.

• Provide clear, practical legal advice that balances organisational risk with operational realities.

• Work across a breadth of legal areas – including technology, privacy, health law, employment/HR, leasing, and commercial – and switch between them with ease.

• Support product development and regulatory strategy in areas involving AI, large language models (LLMs), and generative AI (with training and support provided).

• Partner with engineering and product teams to understand technical concepts and translate them into legal and governance implications.

• Assist with global expansion by navigating jurisdiction-specific legal, compliance, and health regulatory requirements.

• Lead or contribute to DPIAs, PIAs, risk assessments, and regulatory submissions.

• Support certification efforts (e.g., ISO 27001, SOC2, Cyber Essentials+) and respond to due diligence and security reviews.

• Draft and maintain internal policies, contribute to governance processes, and support internal training.

• Support capital raising and financing activities, including preparing and reviewing term sheets, subscription agreements and other investment documentation, managing data rooms, coordinating legal workstreams for equity and debt raises, and liaising with investors and external counsel.

• Represent Heidi at conferences, panels, and external events where legal, regulatory, or governance expertise is required.

• Manage external legal counsel as required.

What we’re looking for

• A qualified lawyer admitted to practice in Australia, Canada, or the United States with 1–4 years’ post-qualification experience. Background in technology, digital health, or a fast-growth startup is a plus, not a prerequisite.

• Comfortable working in a fast-paced, ambiguous environment and able to produce advice that is both legally sound and highly practical.

• Pragmatic and able to focus on what matters, without getting bogged down in minute details that don’t impact risk.

• Technically curious and able to learn new systems and tools quickly (e.g., Slack, Linear, Notion, and other workflow platforms).

• Interested in or willing to upskill in understanding advanced technical concepts such as LLMs, generative AI, and cloud-based architectures.

• Able to context-switch efficiently across diverse legal areas – commercial contracting, capital raising, financing, health regulation, HR/employment, privacy, and technology matters.

• An exceptional communicator who can translate complexity into clear, concise, and business-friendly guidance.

• Multilingual a plus, given Heidi’s global footprint across 116 countries and 110+ languages.

• Experience practising across (or familiarity with) multiple jurisdictions (e.g. AU, UK / EU, US, Canada) is highly regarded.

• Self-motivated and proactive, with the judgement to drive matters forward without close supervision.
